Terms and Conditions

1. Definitions

In these terms and conditions:

• "Starlight Studios," "We," "Us," or "Our" refers to Starlight Studios, a video production company based in Los Angeles, CA.
• "Client," "You," or "Your" refers to the person or entity engaging Starlight Studios for video production services.
• "Services" refers to any video production services provided by Starlight Studios, including but not limited to pre-production, filming, editing, post-production, animation, and related services.
• "Project" refers to the specific video production project agreed upon between Starlight Studios and the Client.
• "Content" refers to any video footage, audio recordings, graphics, text, or other materials created or utilized in the Project.
• "Deliverables" refers to the final video product or other materials delivered to the Client as part of the Project.

2. Copyright and Ownership

Unless otherwise agreed in writing, Starlight Studios retains all copyright and ownership rights to all Content created during the Project, including raw footage, edited videos, and related materials. Upon full payment of all fees, the Client will receive a license to use the Deliverables as specified in the project agreement.

Specifically:

• Starlight Studios retains the right to use the Deliverables for promotional purposes, including showcasing the work on our website, portfolio, and social media channels.
• The Client may not resell, redistribute, or sublicense the Deliverables without the express written consent of Starlight Studios.
• Any unauthorized use of the Content or Deliverables may result in legal action.

3. Usage Rights and Licensing

The specific usage rights granted to the Client will be outlined in the project agreement. These rights may vary depending on the scope and nature of the Project. Common usage rights include:

• Internal Use: Use within the Client's organization for training, presentations, and internal communications.
• Marketing Use: Use in marketing campaigns, advertising, and promotional materials.
• Web Use: Use on the Client's website and social media channels.
• Broadcast Use: Use on television or other broadcast media (subject to additional fees and licensing agreements).

Any usage outside the scope of the agreed-upon license will require additional licensing fees.

4. Payment Terms

Payment terms will be outlined in the project agreement. Generally, Starlight Studios requires an initial deposit to commence the Project. Payment schedules may be structured as follows:

• Deposit: A percentage of the total project cost is due upon signing the project agreement.
• Milestone Payments: Payments are due upon completion of specific project milestones (e.g., completion of filming, completion of editing).
• Final Payment: The remaining balance is due upon delivery of the final Deliverables.

Late payments may be subject to interest charges at a rate of 1.5% per month. Starlight Studios reserves the right to suspend work on the Project if payments are not received according to the agreed-upon schedule.

5. Project Changes and Revisions

The Client is entitled to a reasonable number of revisions to the Deliverables as specified in the project agreement. Any changes requested outside the scope of the original agreement may be subject to additional fees. Starlight Studios will provide a written estimate for any additional work before proceeding.

Starlight Studios is not responsible for delays or additional costs incurred due to changes requested by the Client that significantly alter the original scope of the Project.

6. Cancellation Policy

If the Client cancels the Project after signing the project agreement, the following cancellation fees may apply:

• Cancellation before pre-production: Loss of deposit.
• Cancellation during pre-production: 50% of the total project cost.
• Cancellation during filming: 75% of the total project cost.
• Cancellation during post-production: 100% of the total project cost.

Starlight Studios reserves the right to cancel the Project due to unforeseen circumstances (e.g., illness, equipment failure). In such cases, the Client will receive a full refund of all payments made.

7. Liability Limitations

Starlight Studios is not liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the Services, including but not limited to loss of profits, loss of data, or business interruption. Our liability is limited to the amount paid by the Client for the Services.

Starlight Studios is not responsible for any delays or failures to perform due to circumstances beyond our control, including but not limited to acts of God, natural disasters, strikes, or government regulations.

8. Client Responsibilities

The Client is responsible for:

• Providing accurate and complete information necessary for the completion of the Project.
• Obtaining all necessary permissions and releases for any copyrighted materials, locations, or individuals featured in the Project.
• Approving all project milestones and deliverables in a timely manner.
• Complying with all applicable laws and regulations.

9. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action arising out of or related to these terms and conditions shall be brought in the state or federal courts located in Los Angeles County, California.
